Terms and Conditions

Welcome to Menuverse Corporation (“Menuverse,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your access to and use of our website, online ordering platform, mobile applications, and related services (collectively, the “Services”).

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.

1. About Menuverse

Menuverse Corporation provides an online platform that connects customers with participating restaurants for the purpose of viewing menus, placing orders, and arranging pickup or delivery.
Menuverse acts as a technology provider — not a restaurant, delivery service, or food preparer.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use our Services.
By using Menuverse, you represent that you meet this eligibility requirement and are legally able to enter into this agreement.

3. Account Registration

To access certain features, you may need to create an account. You agree to:

Provide accurate and complete information during registration;

Keep your account credentials confidential; and

Notify us immediately of any unauthorized access to your account.

Menuverse is not responsible for any loss or damage resulting from your failure to safeguard your login information.

4. Use of the Services

You agree to use our Services only for lawful purposes and in accordance with these Terms.
You may not:

Use the platform in a way that could disable, damage, or interfere with its operation;

Attempt to gain unauthorized access to our systems;

Use automated scripts, bots, or scrapers to access data;

Misrepresent your identity or affiliation; or

Engage in fraudulent, deceptive, or illegal activity.

Menuverse reserves the right to suspend or terminate your account for violations of these Terms.

5. Ordering and Payments

Restaurant Responsibility: Menuverse facilitates the order but is not responsible for the preparation, quality, or delivery of food. All restaurant services are provided directly by the participating restaurant.

Payment Processing: Payments are securely processed through third-party payment providers. You agree that Menuverse is not responsible for any errors or issues related to third-party payment systems.

Pricing and Availability: Menus, prices, and availability are determined by restaurants and may change without notice.

Cancellations and Refunds: Cancellation or refund policies are set by each restaurant. Please contact the restaurant directly for order modifications or refunds.

6. Restaurant Accounts

If you are a restaurant partner, you agree to:

Provide accurate business and menu information;

Maintain updated pricing, hours, and item availability;

Comply with applicable laws, including health, safety, and licensing regulations; and

Authorize Menuverse to display your content and logos for promotional purposes.

Menuverse may suspend or terminate restaurant accounts that fail to comply with these obligations.

7. Intellectual Property

All content, trademarks, logos, software, and materials available through the Services are owned or licensed by Menuverse Corporation and protected by applicable copyright and trademark laws.

You may not copy, modify, distribute, or create derivative works without our express written permission.

8. Privacy

Your use of our Services is also governed by our Privacy Policy
, which explains how we collect, use, and protect your information.

9. Disclaimers

The Services are provided “as is” and “as available” without warranties of any kind, express or implied.
Menuverse does not guarantee that:

The Services will be error-free, uninterrupted, or secure;

The food, menus, or information provided by restaurants are accurate or reliable; or

Any delivery times or restaurant availability will be consistent.

All food-related issues (including allergies, preparation, or delivery) are the sole responsibility of the restaurant.

10. Limitation of Liability

To the fullest extent permitted by law, Menuverse Corporation, its affiliates, officers, employees, or agents shall not be liable for:

Any indirect, incidental, special, consequential, or punitive damages;

Any loss of profits, data, or goodwill; or

Any damages resulting from use or inability to use the Services, even if advised of the possibility of such damages.

Menuverse’s total liability for any claim shall not exceed the amount you paid (if any) to use the Services in the past 3 months.

11. Indemnification

You agree to indemnify and hold harmless Menuverse Corporation and its affiliates from any claims, damages, liabilities, and expenses (including legal fees) arising from:

Your use or misuse of the Services;

Your violation of these Terms; or

Your infringement of any third-party rights.

12. Termination

Menuverse may suspend or terminate your account or access to the Services at any time, without notice, for conduct that violates these Terms or harms our platform, business partners, or users.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, United States, without regard to its conflict of law provisions.

Third-Party Delivery Services and Shipday Integration

Menuverse may integrate with third-party delivery service providers, including Shipday, to facilitate restaurant delivery orders, driver dispatching, delivery tracking, and related delivery services. These third-party delivery services are separate from Menuverse and are not owned, operated, or controlled by Menuverse.

  1. Separate Third-Party Service

When a restaurant elects to use a third-party delivery provider through a Menuverse integration, the restaurant acknowledges that the delivery provider is an independent third-party service. Menuverse’s role is limited to providing the technical integration necessary to transmit applicable order and delivery information between the restaurant’s ordering system and the third-party provider.

Menuverse does not employ, manage, supervise, or control third-party delivery drivers and is not responsible for the actions, omissions, conduct, performance, availability, or policies of any third-party delivery provider.

  1. Third-Party Delivery Fees and Charges

The restaurant is solely responsible for all fees, subscription charges, delivery charges, driver charges, transaction charges, and other amounts assessed by the third-party delivery provider.

For example, Shipday may charge restaurants a monthly platform or service fee, as well as delivery-related charges for deliveries completed through its platform. These charges are determined by Shipday and may change according to Shipday’s pricing, policies, or service terms.

Menuverse does not establish, control, collect, or guarantee the pricing charged by Shipday or any other third-party delivery provider.

  1. Customer Delivery Fees and Tips

Where applicable, customers may pay delivery fees and tips at the time an order is placed through the restaurant’s online ordering system.

The restaurant understands that customer-collected delivery fees and tips do not eliminate or replace the restaurant’s obligation to maintain a valid payment method with the applicable third-party delivery provider.

Customer delivery fees and tips may be collected by the restaurant and subsequently used to offset delivery-related expenses. The restaurant remains solely responsible for ensuring that all amounts owed to the third-party delivery provider are paid when due.

  1. Maintaining a Valid Payment Method

The restaurant is solely responsible for maintaining a valid and authorized payment method with its third-party delivery provider.

The restaurant must maintain a valid credit card, debit card, bank account, or other payment method accepted by the third-party provider and ensure that sufficient funds or available credit are maintained to cover applicable charges.

Menuverse is not responsible for maintaining, updating, replacing, or funding a restaurant’s payment method with a third-party delivery provider.

  1. Failed or Declined Payments

If a third-party delivery provider is unable to collect payment because a payment method has expired, been declined, reached its limit, been removed, or is otherwise unavailable, the restaurant is solely responsible for resolving the payment issue directly with the third-party provider.

Menuverse is not obligated to advance, loan, reimburse, or otherwise pay any third-party delivery charges on behalf of a restaurant.

Menuverse may assist with technical communication between the restaurant and the third-party provider as a courtesy, but such assistance does not transfer the restaurant’s financial responsibility to Menuverse.

  1. Suspension of Third-Party Delivery Services

A third-party delivery provider may suspend, restrict, disable, or terminate delivery services when a restaurant has an unpaid balance, failed payment, invalid payment method, account issue, or violation of the provider’s terms.

Menuverse is not responsible for any interruption, suspension, delay, or loss of delivery service resulting from the restaurant’s account or payment status with the third-party provider.

If a third-party provider suspends delivery services, the restaurant must resolve the matter directly with that provider. Menuverse may restore or maintain the technical integration when the third-party provider makes the service available again.

  1. No Personal or Menuverse Payment Guarantee

Restaurants understand and agree that Menuverse personnel, officers, employees, contractors, or representatives are not personally responsible for paying a restaurant’s third-party delivery charges.

Menuverse will not be required to use a personal credit card, corporate credit card, bank account, or other Menuverse payment method to satisfy a restaurant’s obligations to a third-party delivery provider.

Any payment made by Menuverse or a Menuverse representative on behalf of a restaurant, whether voluntarily or as an emergency accommodation, does not create an ongoing obligation, guarantee, credit arrangement, or precedent requiring Menuverse to make future payments.

The restaurant remains responsible for reimbursing Menuverse for any third-party charges paid on its behalf, unless otherwise agreed to in writing.

  1. Third-Party Terms and Policies

The restaurant acknowledges that use of a third-party delivery service may also be subject to that provider’s separate terms of service, billing policies, privacy policies, pricing, and other requirements.

The restaurant is responsible for reviewing and complying with the applicable third-party provider’s terms and maintaining its account in good standing.

Menuverse is not responsible for changes made by a third-party provider to its pricing, billing practices, payment methods, service availability, delivery policies, driver policies, or technical requirements.

  1. Integration Changes and Alternative Payment Methods

Menuverse does not guarantee that a third-party delivery provider will support a particular payment processor, payment method, billing arrangement, or alternative payment system.

A restaurant may request that Menuverse communicate a feature request or billing concern to the applicable third-party provider. Menuverse may, at its discretion, forward such requests; however, Menuverse does not guarantee that the third-party provider will implement, approve, or accommodate the requested change.

Requests for alternative payment methods do not relieve the restaurant of its obligation to maintain an approved and valid payment method with the third-party provider.

  1. Delivery Service Liability

Menuverse is not responsible for delivery-related issues arising from the third-party delivery provider, including but not limited to:

  • Driver availability
  • Driver conduct
  • Delivery delays
  • Failed deliveries
  • Incorrect delivery addresses
  • Lost or damaged orders
  • Driver cancellations
  • Delivery-area restrictions
  • Third-party account suspension
  • Third-party billing errors
  • Third-party payment failures
  • Third-party system outages
  • Changes to third-party pricing or policies

Any dispute concerning the performance, billing, or operation of a third-party delivery provider should be addressed directly with that provider.

  1. Restaurant Responsibility

By enabling a third-party delivery integration through Menuverse, the restaurant accepts full responsibility for maintaining its third-party delivery account in good standing, including maintaining valid payment information and paying all applicable charges when due.

The restaurant understands that Menuverse provides the technology integration but does not assume the restaurant’s contractual or financial obligations to the third-party delivery provider.

  1. No Agency or Partnership

The use of a third-party delivery integration through Menuverse does not create a partnership, joint venture, agency, employment relationship, or other relationship between Menuverse and the third-party delivery provider.

Menuverse and the third-party delivery provider are separate businesses, and each party is responsible for its own services, obligations, employees, contractors, systems, and policies.

13.  Menuverse can monitor Shipday. Menuverse does not manage or fund the restaurant’s Shipday account.

14. Changes to These Terms

We may update or modify these Terms from time to time.
The latest version will always be posted on our website with an updated “Effective Date.” Continued use of the Services constitutes your acceptance of the revised Terms.
